Ross represents sophisticated businesses, healthcare providers, private equity sponsors, venture capital funds, family offices, entrepreneurs, and investors in complex transactions. He is passionate about delivering disciplined and pragmatic advice to clients to enable them to achieve desired business and financial goals. 

Ross’s broad corporate practice includes advising clients with respect to strategic entity formation, debt and equity financings, securities offerings, mergers and acquisitions, private equity and venture capital investments, equity compensation, corporate governance, joint venture arrangements, and tactical corporate deals. 

As part of his healthcare practice, Ross regularly advises physicians, dentists, ambulatory surgery centers, practice management companies, and a variety of healthcare industry investors and entrepreneurs, regarding a full range of healthcare issues including strategic and financial sales and acquisitions, development of ancillary service lines, joint ventures, employment and independent contractor agreements, day-to-day operational matters, and compliance with state and federal fraud and abuse prohibitions and regulatory requirements.

Ross earned his law degree from Indiana University Robert H. McKinney School of Law, where he completed a Graduate Certificate in Health Law at the William and Christine Hall Center for Law and Health, and received undergraduate and graduate degrees from Marshall University.

Prior to joining Gutwein Law, Ross practiced in the business department of a national law firm.

Representative Transactions

  • Represented the sponsor in the closing of construction financing and tax equity commitments in excess of $392M related to a 400 MW solar farm in Indiana.

  • Represented seller and joint venture entity in the sale, purchase, and expansion of an energy production facility with an enterprise value in excess of $125M including equity structuring, senior and mezzanine debt, and tax structuring including investment tax credits.

  • Represented principals of a technology company in the equity sale of their membership interests, including the f-reorganization of the target, to a strategic acquirer for an enterprise value in excess of $15M.

  • Represented strategic acquirer in the stock sale of a national hazardous materials transportation company for an enterprise value in excess of $11M.

  • Represented national third-party property management firm in its strategic acquisitions throughout the United States.

  • Represented real estate private equity sponsor in the acquisition of multiple active farming operations throughout the United States.

  • Represented borrower and pledgor in the restructure and refinance of existing debt for an operating mixed-use property in the Midwest.

  • Represented acquirer in the financing and acquisition of a 238,000 square foot industrial facility.

  • Represented tenant in the negotiation and execution of a lease for a 230,800 square foot warehouse facility.

  • Represented tenant in the negotiation and execution of a lease for a 120,000 square foot manufacturing facility.
